Welcome to PostPanther. These Terms of Service ("Terms") govern your access to and use of the PostPanther website at postpanther.com and application at app.postpanther.com (collectively, the "Service"), operated by PostPanther ("we", "our", or "us").
By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

About PostPanther
PostPanther is a software-as-a-service (SaaS) platform that enables individuals, businesses, and agencies to manage, schedule, and publish content across multiple social media platforms from a single dashboard. The Service is available at app.postpanther.com and includes:
A web-based dashboard for scheduling and publishing social media content
Integrations with Facebook, Instagram, Threads, Twitter/X, LinkedIn, YouTube, Google Business Profile, Reddit, Pinterest, TikTok, Bluesky, and Telegram
A content calendar, post drafting, and scheduling queue
Analytics and performance reporting for connected accounts
Media management and storage

Eligibility
To use PostPanther, you must:
Be at least 18 years of age
Have the legal authority to enter into a binding contract
Not be prohibited from using the Service under any applicable law
Comply with all applicable local, state, national, and international laws and regulations
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Account Responsibilities
When you create a PostPanther account, you are responsible for:
Providing accurate, complete, and current registration information
Maintaining the confidentiality of your login credentials and not sharing them with others
All activity that occurs under your account, whether or not you authorized it
Notifying us immediately at support@postpanther.com if you suspect unauthorized access to your account
Connected Social Accounts
You must have legitimate, authorized access to any social media accounts you connect to PostPanther. You must not connect accounts that you do not own or have explicit permission to manage. Connecting accounts in violation of the terms of those platforms is your sole responsibility.

Acceptable Use
You agree NOT to use PostPanther to:
Publish, schedule, or distribute spam, bulk unsolicited content, or misleading posts
Violate the terms of service, community guidelines, or developer policies of any connected social media platform
Post illegal content, including content that infringes copyright, trademarks, or other intellectual property rights
Publish hate speech, harassment, threats, or content that promotes violence or discrimination
Engage in phishing, fraud, impersonation, or deceptive practices
Attempt to circumvent, reverse engineer, or exploit any security features of the Service
Use the Service to artificially inflate follower counts, engagement metrics, or generate fake social proof
Resell, sublicense, or provide access to the Service to third parties without our written permission
Warning: We reserve the right to suspend or permanently terminate accounts that violate these rules, without notice and without refund.

Content Ownership & License
Your Content
You retain full ownership of all content you create, upload, draft, or schedule through PostPanther ("Your Content"), including post text, images, videos, and other media. PostPanther makes no claim of ownership over Your Content.
License to PostPanther
By using the Service to publish content, you grant PostPanther a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely for the purpose of delivering the Service — that is, publishing your content to the social media platforms you have authorized, and displaying your content within your PostPanther dashboard. This license is revocable at any time by deleting your content or account.
Your Responsibility for Content
You are solely responsible for Your Content and represent that: (a) you own or have the necessary rights and permissions to publish it; (b) it does not infringe any third-party intellectual property rights; and (c) it complies with all applicable laws and the policies of the platforms on which it is published.
PostPanther Intellectual Property
All software, design, code, branding, logos, and other materials comprising the PostPanther Service are owned by or licensed to PostPanther and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the Service without our express written permission.

Third-Party Platform Integrations
PostPanther integrates with third-party social media platforms (including but not limited to Facebook, Instagram, Threads, Twitter/X, LinkedIn, YouTube, Google Business Profile, Reddit, Pinterest, TikTok, Bluesky, and Telegram). Your use of these integrations is subject to important limitations:
Platform Terms Apply: You must comply with the terms of service, developer policies, and community guidelines of each platform you connect. PostPanther is not responsible for any action taken by a platform against your account for policy violations.
API Changes: Third-party platforms may change, restrict, or discontinue their APIs at any time without notice. PostPanther is not responsible for any loss of functionality, data, or service availability resulting from such changes.
Platform Policies: PostPanther does not control and is not responsible for the content policies, privacy practices, or terms of third-party platforms. Connecting to a platform is at your own risk.
Publishing Failures: While we strive for reliable delivery, PostPanther cannot guarantee that posts will be published successfully to all platforms at all times due to platform outages, API rate limits, or changes to platform requirements.
PostPanther is an independent service and is not affiliated with, endorsed by, or sponsored by any of the third-party platforms we integrate with.

Subscription & Payment Terms
PostPanther offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:
Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select
Payment Processor: All payments are processed securely by Stripe. PostPanther does not store your full payment card details
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
Price Changes: We may change subscription prices with at least 30 days' notice via email or in-app notification. Continued use after a price change constitutes acceptance
Non-Payment: Failure to pay may result in suspension or downgrade of your account to the free plan
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period
Taxes: Prices are exclusive of applicable taxes. You are responsible for any applicable sales tax, VAT, or similar taxes in your jurisdiction
The Service is provided "as is" and "as available" without warranties of any kind
We do not guarantee uninterrupted, error-free, or timely operation of the Service
We may perform scheduled or emergency maintenance that temporarily interrupts service
Features may be added, modified, or removed with reasonable notice
We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability
To the maximum extent permitted by applicable law, PostPanther and its officers, directors, employees, agents, and licensors shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Service interruptions, downtime, or failure of scheduled posts to publish
Actions taken by third-party social media platforms against your accounts
Changes to or deprecation of third-party platform APIs
Unauthorized access to your account resulting from your failure to maintain security
In any case, PostPanther's total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the total fees you paid to PostPanther in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow exclusions of certain warranties or limitation of liability, so these limitations may not apply to you.

Termination & Suspension
Termination by PostPanther
We may suspend or permanently terminate your account and access to the Service, with or without notice, if:
You violate these Terms or our Acceptable Use Policy
Your use of the Service creates legal risk or harm to PostPanther or other users
Your subscription payment fails and is not resolved within a reasonable period
Required by applicable law or third-party platform demand
Termination by You
You may cancel your subscription and delete your account at any time from your account settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.
Effect of Termination
Upon termination, your access to the Service will cease immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 9, 11, and 13) will remain in effect.

Intellectual Property
The PostPanther Service, including its software, design, interface, branding, logos, trademarks, and all associated content created by PostPanther, is and remains the exclusive intellectual property of PostPanther. You may not:
Copy, modify, or create derivative works based on the Service
Use our trademarks, logos, or brand assets without prior written consent
Reverse engineer, decompile, or disassemble any part of the Service
If you believe your intellectual property has been infringed by content on our Service, please contact us at support@postpanther.com with a detailed description of the claimed infringement.

Modifications to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice in the application at least 14 days before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.
